Introduction

The Hive Learning Network Enablement Platform, SCIP, is a Social Community Innovation Platform that allows for Learning Network tri-party communities to collaborate on a secure, private, and safe platform, these three parties being patients and their families, clinicians and other caregivers, and researchers and their teams. From this platform, each party can learn and create a better quality of care.

Hive Networks, Inc. is dedicated to protecting the privacy of our users and their personal information. All data is securely stored in a secure enterprise environment. All data is encrypted in transit and at rest. We use standard practices for technical, administrative and physical controls to protect the data from loss, misuse, or alteration. 

All information shared in your Learning Network community is owned by the community.

Your privacy is important to us. It is Hive Networks, Inc.'s policy to respect your privacy regarding any information we may collect from you across our website, https://hivenetworks.com, and other sites we own and operate.

We only ask for personal information when we truly need it to provide a service to you. We collect it by fair and lawful means, with your knowledge and consent. We also let you know why we’re collecting it and how it will be used.

We only retain collected information for as long as necessary to provide you with your requested service. What data we store, we’ll protect within commercially acceptable means to prevent loss and theft, as well as unauthorized access, disclosure, copying, use or modification.

We don’t share any personally identifying information publicly or with third-parties, except when required to by law.

Our website may link to external sites that are not operated by us. Please be aware that we have no control over the content and practices of these third party sites, and cannot accept responsibility or liability for their respective privacy policies.

You are free to refuse our request for your personal information, with the understanding that we may be unable to provide you with some of your desired services

COPPA

Hive Networks is compliant to the Children’s Online Privacy Protection Act of 1998 (COPPA). It is each Learning Networks responsibility to obtain parental permission and disclose what their data will be used for, for participants under the age of 13.

Information We Collect

We may use cookies and similar technologies to help us improve your user experience with our services, and improve and measure the effectiveness of our products. We may also use third-party web analytic tools to analyze website traffic or improve our services. Third party social login functionality (i.e. Login w/ Facebook account) is provided for ease of use and is only used for authentication of the user. User data stored within the Hive technology platform will not be shared with the third party social login solutions.

We will not, however, use cookies or similar technologies to track users for targeted advertising, nor will we permit anyone else to do so.

When you create an account, you will be asked for certain personal information such as your name, email address, birth date, clinical care center, etc. It is important that you provide accurate information for proper validation and facilitate our communications with you. You will also create a secure complex password. We will protect this information, and we will use and disclose it only in the ways we describe in this Privacy Policy.

After you register on the site, a Learning Network administrator will review and reject/approve your request. Once approved, you can participate in the Learning Network community that you are assigned, which includes direct messages, group discussions, information posts, and other communications among users.

Protecting Your Privacy

While we will continue to stay dedicated to protecting your privacy, there are steps you can take to ensure you’re doing everything on your end to protect your privacy. 

• Create a complex password. We recommend that setting your Password to eight (8) characters or longer. Additionally, your password should contain at least 3 of the 4 following categories: lowercase, uppercase, numbers, and symbols.
• Protect your password.
• Never share your access information with others.
• Choose your profile picture carefully, decide who you want to have access to it.
• Only post information that you’re comfortable with people knowing.

Updates

There may come a time when we feel it is necessary to update or modify our Privacy Policy, although most changes will be editorial or expanding on the services that we offer on our platform. In the event that we make changes that would impact the sharing of your information, we would ask you to consent to a new Privacy Policy before we moved forward with your information.

This is an agreement between you (“you”) and Hive Networks, Inc. (“Hive”, or “we”, “us”). 

As a member of a community (“Community”)hosted on the Hive Networks Social Collaboration Innovation Platform (the “Platform”), you must review and accept the following guidelines and rules. By continuing to use the Platform and participating in a Community, you agree to be bound by the following terms (“Terms”).

1. Use of our Platform and Community requires an account. You agree to provide accurate information when you register for an account, and to keep your account information current. You are responsible and liable for all activity that occurs under your account. You are responsible for keeping your account up-to-date and secure. You must immediately notify Hive if you become aware of any unauthorized use of your account. 
2. The Platform and Community is to be used solely for the purpose of improving the quality of life and quality of care of patients and providers, in order to improve outcomes in each of our communities.
3. Each Community is private and run by third-party administrators (“Administrators”), who may create additional guidelines for participating in the Community. Membership is open to health and healthcare professionals who are invited by existing Community members. Community Administrators may, in their discretion remove you or other members from a Community. Hive disclaims any responsibility for the actions of any Community Administrator.
4. The Platform and Community may contain text, photo, links, graphics, videos, audio, code, computer software, or other materials posted or submitted to our Platform and Community by users or anyone else ("Content"). We are not responsible for any use or effects of such Content. 
   
   We do not explicitly or implicitly endorse any Content, or represent that Content is accurate, useful, or non-harmful. We disclaim any responsibility for any harm resulting from anyone’s use or downloading of Content. We are not a party to, and will have no responsibility or liability for, any communications, transactions, interactions, or disputes between you and any other Community or Platform user or Administrator. 
   
   You are entirely responsible for the Content you post, and any other Content posted from your account. You may not post Content that isintentionally false, misleading, deceptive, and/or potentially harmful, that reveals an individual’s health details, or that is hostile, profane, intimidating, or defamatory or libelous. You may expose yourself to liability if your Content violates the law in your jurisdiction. 
   
   We are not obligated to screen, edit, or monitor our Communities or Content in any way. Notwithstanding, we may, in our sole discretion, delete or remove Content at any time and for any reason, including a violation of these Terms, or if you otherwise create liability for us.Community Administrators may also, in their sole discretion, delete or remove Content in theCommunity they administrate at any time and for any reason.
5. Please consider the Community’s mission and ground rules when you invite others, as we are relying upon each member to help us to maintain the integrity of the community as a safe space for our members to openly share and collaborate.The subject of any post and subsequent discussions is expected to be for the good of the members of the community, and the broader communities we serve.
6. You assert that you have the necessary rights to post Content, including intellectual property rights where applicable. You may expose yourself to liabilityif you share Content without the necessary rights. Notwithstanding the above, you agree to provide attribution when sharing any Content produced by a third party. 
7. Unless authorized in advance by Community Administrators, you may not use our platform to conduct or post Content promoting commercial activities, including, without limitation, direct sales of goods or services, marketing, advertising, or affiliate links.
8. In your use of the Platform and Community, you agree to comply with all applicable laws and regulations, including, without limitation, the Health Insurance Portability and Accountability Act (HIPPA) and related regulations and rules, the General Data Protection Regulation (EU) 2016/679 (GDPRand any applicable laws regarding privacy, data protection, the transmission of technical data exported from the United States or the country in which you reside.
9. Violation of these Terms may result in the termination of your account, or your removal from the Community.All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, indemnity, and limitations of liability.
10. IN NO EVENT WILL HIVE, OR ITS SUPPLIERS, PARTNERS, OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THE TERMS UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED $100 OR THE FEES PAID BY YOU TO HIVE UNDER THE TERMS DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION, WHICHEVER IS GREATER. HIVE SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND THEIR REASONABLE CONTROL. THE FOREGOING SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. 
11. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS HIVE, ITS CONTRACTORS, AND ITS LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL LOSSES, LIABILITIES, DEMANDS, DAMAGES, COSTS, CLAIMS, AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR PLATFORM OR COMMUNITIES, INCLUDING BUT NOT LIMITED TO YOUR VIOLATION OF THE TERMS, ANY AGREEMENT WITH ANY HIVE PARTNER OR THIRD-PARTY RELATED TO A COMMUNITY HOSTED ON HIVE'S PLATFORM, AND CONTENT THAT YOU POST. 
12. You expressly represent and warrant that your use of our Platform and Communities is not contrary to applicable U.S. Sanctions. Such use is prohibited, and we reserve the right to terminate accounts or access of those in the event of a breach of this condition.
13. OUR PLATFORM AND COMMUNITIES ARE PROVIDED “AS IS.” HIVE AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER HIVE, NOR ITS SUPPLIERS AND LICENSORS, MAKES ANY WARRANTY THAT OUR PLATFORM OR COMMUNITIES WILL BE ERROR FREE OR THAT ACCESS WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU USE OUR PLATFORM AND COMMUNITIES AT YOUR OWN DISCRETION AND RISK. 
14. These Terms (including the indemnification provisions hereof) embodies the entire agreement and understanding between the parties hereto and supersedes all prior agreements and understandings relating to the subject matter hereof. If any provision of these Terms are determined to be invalid or unenforceable in any respect, such determination will not affect such provision in any other respect or any other provision of these Terms, which will remain in full force and effect. A waiver by either party of any term or condition breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
15. Hive may modify these Terms and other Platform policies from time to time. When we do, we will post a revised version on our website. If the modifications are material, we will let you know by posting on our Platform, or by sending you an email or other communication before the modifications take effect. The notice will designate a reasonable period of time after which the new terms will take effect. If you disagree with our modified Terms, you should stop using the Platform within the designated notice period, or once the modified Terms become effective. Your continued use of our Platform will be subject to the new terms. However, any dispute that arose before the modifications shall be governed by the Terms that were in place when the dispute arose.
16. Except to the extent any applicable law provides otherwise, the Terms and any access to or use of our Platform will be governed by the laws of the state of Ohio, U.S.A., excluding its conflict of law provisions. The proper venue for any disputes arising out of or relating to the Terms and any access to or use of our Services will be the state and federal courts located in Hamilton County, Ohio.

If you do not agree to the above Terms, please discontinue your use of the Platform and Community, and contact Support to disable your account.
